A RESOLUTION AND ORDER CANVASSING THE RETURNS AND DECLARING THE RESULTS OF THE
CITY SPECIAL ELECTION.
There came to be considered the returns of an election held on the 18th day of
January, 1992 for the purpose of electing the hereinafter named official, and it
appearing from said returns, duly and legally made, that there were cast at said
election 434 valid and legal votes; that each of the candidates in said
election received the following votes:

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF STEPHENVILLE,
TEXAS:
That said election was duly called; that notice of said election was given in
accordance with law, and that said election was held in accodance with law, and
that:
A Donald L. Zelman was duly elected to City Council, Place 2;
Said above -named party is hereby declared duly elected to said respective office,
subject to the taking of his oath of office as provided by the laws of the State
of Texas and the Charter of the City of Stephenville, Texas.
PASSED AND APPROVED by the City Council of the City of Stephenville, Texas, this
the 22nd day of January, 1992.

CONTRACT FOR EMERGENCY TRANSFERS
This is a contract and agreement for emergency ambulance
transfers of patients between the City of Stephenville, Texas,
hereafter City, and Harris Methodist Hospital, Stephenville,
hereafter Harris, and the parties hereby agree and contract as
follows:
1. City agrees to provide emergency ambulance service to out
of county facilities for patients of Harris that are hospitalized
in Stephenville or Erath County, Texas.
2. The term of this contract is five (5) years and shall
begin February 1, 1992, and shall end December 31, 1997.
3. Unless otherwise stated herein, Harris shall be
responsible for billing and collecting from the transferred patient
for the services rendered by City and paying the City.
4. During the term of this contract, Harris shall pay to City
$400 per emergency transfer of a patient to be payable to the City
upon presentation to Harris of a bill. The $400 fee stated herein
w shall be subject to annual review of the parties.
1 5. In the event that a transfer is not medically necessary
but a patient requests a transfer and City agrees to transfer said
patient, Harris will not be responsible for billing and collecting
for the patient nor for paying City the per run amount.
6. The level of care to be rendered to patients by City shall
be Basic Life Support.
7. Emergency Transfers shall be from Harris' hospital
facility in Stephenville, Texas, to facilities designated by Harris
that are not further than 125 miles from the hospital facility in
Stephenville, Texas.
8. Harris agrees that the City of Stephenville will be the
/� primary provider and further agrees not to contract with or to
f employ any other entity, emergency ambulance company, city or
service provider that would compete with City without the prior
approval of City.
9. City may transfer its rights under this contract and City
may contract with a sub -provider for emergency ambulance service
with the approval of Harris. Harris shall not transfer its rights
hereunder without approval of City.
10. All prearrangements for reception of the transferred
patients to another facility shall be the responsibility of and
handled by Harris.
11. This contract was executed in Stephenville, Erath County,
Texas and shall be construed under the laws of the State of Texas.
12. This contract shall be binding upon and inure to the
benefit of the parties hereto, their successors and assigns.
